By accessing and using the services provided by Zynora Technologies ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

3. Service Agreement and Subscription

3.2 Payment Terms

• Payment is due according to the billing cycle specified in your Service Agreement
• All fees are non-refundable unless otherwise specified
• Late payments may result in service suspension
• Prices are subject to change with 30 days' notice

3.3 Auto-Renewal

Services with recurring billing will automatically renew unless cancelled according to the cancellation policy outlined in your Service Agreement.

4. Customer Responsibilities

As a customer, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use services in compliance with all applicable laws
• Not use services for illegal or unauthorized purposes
• Provide timely feedback and approvals when required
• Maintain current contact information

5. Intellectual Property

5.1 Company Intellectual Property

All Company-developed software, tools, methodologies, and proprietary systems remain the exclusive property of Zynora Technologies.

5.2 Customer Content

You retain ownership of your content, data, and materials. By using our services, you grant us a limited license to use your content solely for providing the agreed services.

5.3 Work Product

Custom work created specifically for you (websites, campaigns, etc.) becomes your property upon full payment, subject to our retained rights in underlying proprietary systems and methodologies.

6. Service Level and Performance

6.1 Best Efforts

We will provide services using commercially reasonable efforts and industry-standard practices.

6.2 Uptime and Availability

While we strive for maximum uptime, we do not guarantee uninterrupted service availability due to factors beyond our control.

6.3 Performance Expectations

Marketing and automation results may vary based on numerous factors. We do not guarantee specific business outcomes or performance metrics.

7. Data and Privacy

• Customer data will be handled according to our Privacy Policy
• We implement industry-standard security measures
• Customers are responsible for backing up their own data
• We may use aggregated, anonymized data for service improvement

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNORA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that services will be performed in a professional manner consistent with industry standards.

9.2 Disclaimer

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Termination

10.1 Termination by Customer

You may terminate services according to the cancellation policy in your Service Agreement, typically with 30 days' written notice.

10.2 Termination by Company

We may terminate services immediately for:

• Non-payment of fees
• Breach of these Terms
• Illegal use of services
• Behavior that damages our reputation or business

10.3 Effect of Termination

Upon termination, your access to services will cease, and we will provide reasonable assistance in data export as outlined in your Service Agreement.

11. Indemnification

Customer agrees to indemnify and hold harmless Zynora Technologies from claims arising from Customer's use of services, violation of these Terms, or infringement of third-party rights.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or internet service disruptions.

13. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the business relationship.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Zynora Technologies is incorporated.

14.2 Dispute Process

Disputes should first be addressed through good faith negotiations. If unresolved, disputes may be subject to binding arbitration or court proceedings as specified in your Service Agreement.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use of services after changes constitutes acceptance of the modified Terms.

16. Entire Agreement

These Terms, together with your Service Agreement and Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
